Terms of Service

These Terms of Service ("Terms") are an agreement between you and VinShips LLC ("VinShips", "we", "us") and govern your use of the VinShips website, web app and related services (the "Service").

By creating an account or using the Service, you agree to these Terms. If you use the Service for a business, you agree on behalf of that business and confirm you have authority to do so.

1. What VinShips does

VinShips lets you compare shipping rates from carriers such as UPS, FedEx and USPS, check recipient addresses, and buy and print shipping labels. VinShips is not a carrier. The carrier you choose picks up, transports and delivers your package under its own terms.

We may add, change or remove features of the Service at any time.

2. Your account

  • You must be at least 18 years old and able to form a binding contract to use the Service.
  • Give us accurate account information and keep it up to date.
  • Keep your password secure. You are responsible for all activity under your account.
  • Tell us right away at support@vinships.com if you think someone has used your account without permission.

3. Shipping labels and carrier terms

When you buy a label, you ship under the terms, tariffs and service guides of the carrier you select, including the UPS Tariff/Terms and Conditions of Service, the FedEx Service Guide and the USPS Domestic Mail Manual. You agree to follow them.

  • Enter the correct weight, dimensions, service and addresses for every shipment.
  • Package your items properly and do not ship items that are prohibited or restricted by law or by the carrier, including hazardous materials, unless the carrier allows it and you follow its rules.
  • Use each label only once and only for the package it was created for.
  • You are responsible for the contents of your packages and for any duties, taxes or permits they require.

4. Rates, fees and payment

Rates shown in the Service are provided by the carriers and can change until you buy the label. The price you pay is the one shown at checkout.

Carriers may charge adjustments after a label is used, for example when the actual weight or dimensions differ from what you entered, for address corrections, or for additional surcharges. You agree to pay any such adjustments passed through to us for your shipments.

You can pay by credit or debit card, Zelle or wire transfer. Card payments are processed by Stripe, and we do not store your full card number. Zelle and wire transfers are applied to your account once we receive and confirm the funds, so include the deposit code shown in your account with every transfer. You agree to pay for labels, carrier adjustments and any applicable taxes using one of these methods.

5. Delivery times and overnight services

Delivery times shown in the Service, including for overnight services such as UPS Next Day Air, FedEx Priority Overnight and FedEx Standard Overnight, are estimates based on each carrier's service standards. Actual delivery depends on the carrier, the destination, the drop-off or pickup time and events outside anyone's control.

VinShips does not guarantee delivery dates or times. Any money-back guarantee is offered by the carrier, is subject to the carrier's terms and may be suspended by the carrier at any time. [State whether VinShips files guarantee refund requests on the customer's behalf.]

6. Address checks

Before rates load, the Service may check a recipient address against USPS address data through a third-party provider and suggest a corrected version. Suggestions are provided for convenience. You choose which address to use and are responsible for the final address on the label.

7. Insurance and claims

Most carrier services include limited liability coverage, typically up to $100 of declared value. For a higher declared value you may add insurance when you create a shipment. Coverage, exclusions and claims are governed by the terms of the carrier or insurance provider that issues the coverage.

8. Cancelling labels and refunds

You can cancel an unused label from the shipment page with Cancel Label. Whether and when a cancelled label is refunded depends on the carrier's void rules and timelines.

9. Acceptable use

You agree not to:

  • use the Service for anything illegal, fraudulent or deceptive, or to ship items you are not allowed to ship;
  • resell labels or access to the Service without our written permission;
  • copy, scrape or reverse engineer the Service, or access it through automated means we have not approved;
  • interfere with the security or operation of the Service, or try to access data that is not yours;
  • upload content that infringes someone else's rights or contains malware.

10. Third-party services

The Service relies on third parties, including the carriers, a shipping platform used to get rates and create labels, an address verification provider and a mapping provider for address suggestions. Their services are subject to their own terms, and we are not responsible for their acts or omissions.

11. Our content and your content

The Service, including its software, design and branding, belongs to VinShips and its licensors. We give you a limited, non-exclusive, non-transferable right to use it for your own shipping while these Terms are in effect.

You keep ownership of the information you enter, such as addresses and shipment details. You give us permission to use it to provide and improve the Service, as described in our Privacy Policy.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT ALLOWED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT RATES, DELIVERY ESTIMATES OR ADDRESS SUGGESTIONS WILL BE ACCURATE.

13. Limitation of liability

TO THE FULLEST EXTENT ALLOWED BY LAW, VINSHIPS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE OR DATA, INCLUDING DAMAGES CAUSED BY LATE, LOST OR DAMAGED SHIPMENTS. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE. LOSS OF OR DAMAGE TO A SHIPMENT IS HANDLED UNDER THE CARRIER'S OR INSURER'S TERMS.

14. Indemnification

You agree to defend and indemnify VinShips against claims, losses and costs (including reasonable attorneys' fees) arising from your shipments, the contents of your packages, your use of the Service or your breach of these Terms or any carrier terms.

15. Suspension and termination

You may stop using the Service at any time. We may suspend or close your account if you breach these Terms, if required by a carrier or by law, or to protect the Service or other users. Amounts you owe for labels and adjustments remain due after termination.

16. Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of laws rules. Any dispute will be resolved in the state or federal courts located in Natrona County, Wyoming, and you and we consent to their jurisdiction.

17. Changes to these Terms

We may update these Terms from time to time. If a change is material, we will tell you by email or in the Service before it takes effect. Continuing to use the Service after the change means you accept the updated Terms.
